A spokesman for JPMorgan Chase declined to comment on the lawsuits, which were filed in U.S. District Court in Manhattan, days after Chief Executive Jamie Dimon's May 10 statement that a "failed hedging strategy" caused the massive loss over the last month.
"What the Company did not reveal was that those losses were the result of a marked shift in the company's allowable risk model, undisclosed to investors, and the similarly clandestine conversion of a unit within the company that was touted as providing a conservative risk-reduction function into a risky, short-term trading enterprise that exposed the company to large losses instead," said one of the complaints.
It was filed derivatively by California shareholder James Baker on behalf of JPMorgan Chase against Dimon, Chief Financial Officer Douglas Braunstein and board members.
The lawsuit charged the JPMorgan defendants with breach of fiduciary duty, waste of corporate assets and unjust enrichment.
A separate lawsuit was filed at the same time by shareholder Saratoga Advantage Trust financial services portfolio on behalf of owners of common stock.
It said Dimon and Braunstein made "materially false and misleading statements and omissions" on an April 13, 2012 earnings conference call with investors.
"Defendants misrepresented the losses and risk of loss to the company arising from massive bets on derivative contracts related to credit indexes reflecting interest rates on corporate bonds," the complaint said. "These derivative bets went horribly wrong, resulting in billions of dollars in lost capital for the company and billions more in lost market capitalization for JPMorgan shareholders."
The cases are James Baker, derivatively on behalf of JPMorgan Chase & Co v James Dimon, et al in U.S. District Court for the Southern District of New York, No. 12-3878 and Saratoga Advantage Trust v JPMorgan Chase & Co in the same court No. 12-3879.

Mandelbaum, 49 years-old and head of strategy and business development, "has decided to leave the firm to focus on entrepreneurial and other interests," Dimon said in a memo to employees.
"Jay has been an excellent partner of mine since 1992, and I will miss him tremendously," Dimon wrote. Mandelbaum may serve as a board member of companies in which the bank invests, Dimon said.
Dimon also said that Doug Petno, 46, has been promoted to chief executive of commercial banking and that Todd Maclin who was doing that job will now focus entirely on the consumer and business banking franchise.
In addition, John Hogan, 45, the chief risk officer of the investment bank, has been promoted to be chief risk officer for the entire company. Barry Zubrow, 58, who previously held the post, will take the new role of head of corporate and regulatory affairs.
Gordon Smith, the head of credit cards and auto lending, will now oversee three executives who previously reported to Mandelbaum and are responsible for corporate marketing, mobile and e-commerce, and the corporate internet group.
The bank is scheduled to report fourth-quarter earnings Friday.

In a sign of the bank's sensitivity to the issue of callousness to borrowers, it is re-christening its "Loss Mitigation" department as "Borrower Assistance," according to Frank Bisignano, JPMorgan's chief administrative officer who was assigned by Chief Executive Jamie Dimon in February to fix the bank's mortgage problems.
Bisignano sent a memo to bank employees on Monday announcing a reorganization of the bank's residential mortgage business under new executives. JPMorgan's mortgage problems, including allegations of abusive foreclosure practices, are the main reason the bank fell as much as $7 billion short of its profit potential last year, Chief Executive Jamie Dimon told shareholders earlier this year.
Bisignano said in an interview with Reuters that JPMorgan is shifting its foreclosure unit more aggressively toward offering affordable terms to delinquent borrowers to help both consumers and the bank.
"Modifying a loan is much more economical for the firm than foreclosing," he also noted in the memo to employees that was obtained by Reuters.
On another front, Bisignano is deploying risk-management experts from JPMorgan's investment bank to work through problem portfolios of mortgage loans and bank-owned real estate. The effort will be led by Craig Delany, who handled critical short-term funding of JPMorgan during the financial crisis.
Delany will report to Bisignano and to Matt Zames, co-head of global fixed income at the investment bank, according to the memo.
Dimon earlier this year said legal and other issues related to residential mortgages, including billions of dollars of warranty claims from investors in mortgage-backed securities, were the main reason it failed to last year to meet its profit potential of $22 billion to $24 billion.
The reorganization of the mortgage foreclosure area follows a plan that JPMorgan submitted last week, under an agreement with federal regulators, to revamp how it handles troubled mortgages. JPMorgan and other large banks have been the subject of investigations since last year of shoddy documentation and other practices in foreclosure procedures.
The new "Borrower Assistance" department will be headed by Pat Sheehy, who was praised in the memo for work on rebuilding businesses at the bank over the past five years. Sheehy, the bank said, has 27 years of mortgage banking experience, including a sales management post at Countrywide Financial. (Reporting by David Henry; Edited by Jed Horowitz and Richard Chang)
