NEW YORK (Reuters) - Johnson & Johnson Chief Executive William Weldon will step down from his post in April after a series of recalls called into question the quality of the healthcare giant's products, from artificial hips to infant Tylenol.
Weldon, 63, will remain chairman, the company said on Tuesday. He has held both roles for nearly 10 years, after three decades spent working his way through the company from his first job as a sales representative at J&J's McNeil consumer division.
Vice Chairman Alex Gorsky, 51, will become CEO at the next board meeting on April 26, making him the ninth person to lead the company since J&J's founding in 1886.
Under Weldon's tenure, J&J expanded a sprawling business comprising more than 250 companies, from prescription drugmakers to a medical devices division and units that make personal care products.
J&J shares are up less than 2 percent since Weldon took over a decade ago, but have recovered about 14 percent since August 2010 when the company was mired in product recalls.
In the past two years, the company that long prided itself on a credo of high quality has seen its reputation tarnished by massive recalls for products that were poorly manufactured or failed at a higher-than-expected rate.
"Gorsky is inheriting a company with a better pharmaceutical pipeline than it had 5 or 6 years ago," Morgan, Keegan & Co analyst Jan Wald said. "He is inheriting a consumer division that's still embroiled in problems and he is getting a medical device business that he needs to refresh and restructure and get it to grow again."
"He's got a lot of work to do and it is going to be very hard to affect anything in the short-term," Wald said.
The quality control problems at J&J's McNeil consumer healthcare unit -- which makes over-the-counter medicines like painkillers Tylenol and Motrin -- were deemed so pervasive that U.S. health regulators took over supervision of three manufacturing plants in March.
Under a consent decree that the McNeil unit was forced to enter into, the U.S. government will oversee those errant plants for at least five years, an independent expert was retained to inspect manufacturing facilities and the U.S. Food and Drug Administration can levy fines up to $10 million annually if it feels the agreement has been violated.
The consumer products recalls cost the company nearly $1 billion in 2010 sales.
Last month, the company said it would take a $3 billion charge, mostly to cover costs for its recall of metal artificial hips by its DePuy Orthopedics unit. The company also had to recall contact lenses, heart devices, such as stents, and insulin pump cartridges.
The latest trouble came just last Friday, when J&J recalled the entire U.S. supply -- 574,000 bottles -- of its infant Tylenol soon after the product had returned to pharmacy shelves.
Weldon was called before Congress in late 2010 to address the recalls, including an incident in which J&J hired contractors to pose as customers and buy defective bottles of Motrin at drugstores rather than alert the general public.
"This was not one of our finer moments," Weldon said at the time.
TWO-WAY RACE
Gorsky is the latest in a long line of CEOs to come from within the company, although he left in 2004 for a four-year stint as Novartis' head of pharmaceuticals in North America before returning to J&J.
"Any time you change the hand at the tiller, it's liable to liven things up a bit," said Piper Jaffray analyst Matt Miksic.
Miksic said he does not expect to see great rapid changes, but added, "resolution of the succession question and an energized new CEO rising to the challenge is a good thing for the company."
Gorsky began his J&J career in 1988 as a sales representative with the Janssen Pharmaceutica unit. In 2001, he was appointed president of Janssen, and in 2003, Gorsky became group chairman of Johnson & Johnson's pharmaceuticals business in Europe, the Middle East and Africa. After returning to the J&J fold he became global chairman of the Surgical Care Group.
Investors had expected Weldon would be succeeded by Gorsky or co-Vice Chairman Sheri McCoy, who were promoted to the shared post in December 2010. McCoy will report to Gorsky and continue to lead the company's pharmaceuticals and consumer groups.
J&J's planned $21 billion purchase of Swiss medical device maker Synthes, its largest ever, may have helped tip the decision in Gorsky's favor, some said.
"Medical devices has now become their biggest division by sales and earnings and is going to be even bigger when the Synthes deal closes, and that's obviously Alex Gorsky's background," said Jeff Jonas, co-portfolio manager for the Gabelli Healthcare and Wellness Trust, which holds J&J stock.
Jonas said he'd like to see J&J buy back more of its stock going forward, a move not likely before the company closes on the Synthes deal. J&J shares were nearly unchanged after the announcement.
He noted that J&J has new promise with a pipeline of medicines including blood clot preventer Xarelto, developed with Bayer AG, and prostate cancer drug Zytiga.
"He's done a good job for most of the business but obviously the consumer business is sort of a big black eye," Jonas said of Weldon. "He chose good managers."

Lower market levels are also cutting into asset management revenue, and the bank is on track to report a modest loss in its private equity business, Jes Staley, JPMorgan's head of investment banking, said at a conference in New York.
The forecasts were grim enough to spur analysts to slash their third-quarter earnings for the bank. Analysts expect a weak third quarter for investment banks because of global stock market turmoil and the European debt crisis, and have been cutting their earnings estimates in recent weeks.
With just three weeks left in the quarter, global investment banking fees for all of Wall Street amounted to $11.2 billion, 51 percent less than for all of the second quarter, according to Thomson Reuters/Freeman Consulting.
JPMorgan's investment banking fees could be about $1 billion in the third quarter, Staley said, compared with $1.9 billion in the second quarter. Stock and bond trading revenue could drop by about a third from the second quarter.
The investment bank that Staley oversees is the largest of JPMorgan's six business segments, contributing nearly 40 percent of the company's $5.43 billion of second-quarter net income. He is widely seen as a possible successor to Chief Executive Officer Jamie Dimon.
Stand-alone investment banks like Goldman Sachs Group Inc are likely to suffer most from difficulties in that business.
The analysts' average estimate for Goldman's third-quarter earnings had fallen to $2.09 a share on Monday from $2.65 on September 1, according to Thomson Reuters I/B/E/S.
Estimates for JPMorgan, which gets more of its business handling consumer accounts and lending directly to individuals and businesses, have slipped only a penny to $1.20 a share in that time.
Staley said the JPMorgan was "not worried" about its European loans. The bank had $14 billion of credit exposure to companies and countries in Europe as of the end of June. JPMorgan is the second-largest U.S. bank, with $2.2 trillion of assets.
Staley added that the bank will report a "modest loss" on its private equity portfolio if current market conditions hold. He reaffirmed predictions that the bank will have additional litigation expenses in the quarter as it deals with claims from customers over its mortgage lending and mortgage securities businesses.
Credit Suisse analyst Moshe Orenbuch cut his third-quarter earnings forecast for JPMorgan to 81 cents per share from $1.22 after Staley spoke at a Barclays Capital financial services conference in New York. Citigroup's Keith Horowitz followed suit, cutting his estimate for the quarter to 95 cents per share from $1.17.
JPMorgan is usually the first major U.S. bank to report quarterly earnings. Results are next due in October.
Shares of JPMorgan closed up 0.2 percent at $32.49 Tuesday. They have fallen about 23 percent year to date.

SYDNEY/BANGALORE (Reuters) - The chief of Standard & Poor's will step down next month, to be replaced by a senior Citibank executive, in a move announced a few weeks after the credit rating agency downgraded U.S. government debt and sparked a row with Washington.
S&P's parent, McGraw-Hill Companies Inc, said on Tuesday that Deven Sharma, who has served as S&P president since 2007, would step down on September 12, to be succeeded by Citibank chief operating officer Douglas Peterson.
"S&P will continue to produce ratings that are comparable, forward looking and transparent," McGraw-Hill said in a statement, adding that Sharma would work on a strategic portfolio review for the group until leaving at year-end.
The U.S. downgrade on August 5 helped lead to the biggest sell-off in share markets since the global financial crisis three years earlier and sparked a row with the U.S. Treasury over some of the agency's calculations in arriving at the new rating.
The U.S. Justice Department is also investigating the ratings agency over its actions on mortgages leading up to the 2008-2009 crisis, a source familiar with the matter told Reuters last week.
But the Financial Times, which first reported the news of Sharma's resignation, quoted unnamed sources on Tuesday as saying his departure was unrelated to the downgrade or the Justice Department investigation.
The board of McGraw-Hill Companies made the decision to replace Sharma at a meeting where it also discussed its ongoing strategic review on Monday, the Financial Times said.
McGraw-Hill directors and executives met on Monday with Jana Partners LLC, a hedge fund, and the Ontario Teacher's Pension Fund to hear their arguments that the company should be broken up.

KKR said while the value of its investments increased in value, it was less of a rise than a year earlier. KKR said the company's fee earnings can be significantly influenced by when deals close, meaning that the numbers they report on a quarterly basis can be "lumpy".
"In private equity, we continue to be very active on a global basis," said Scott Nuttall, a partner and director at KKR who leads the company's earnings calls. "Valuations are relatively attractive and the financing markets are open for our companies."
Economic net income (ENI), a measure used by private equity firms to report earnings, was $315 million, down 27 percent from $433 million a year earlier.
ENI after tax per adjusted unit was 36 cents, down from 48 cents a year earlier. Analysts' average forecast was 40 cents.
Second-quarter investment income was $239.8 million, down from $370.6 million a year earlier.
KKR shares were down 90 cents, or 6.4 percent, to $13.24 in early afternoon trading on the New York Stock Exchange.
By other metrics, KKR's figures improved. Fee-related earnings were $76 million compared with $63 million the previous year. Earnings using general accepted accounting principles showed that net income was $39.6 million compared with $29.9 million a year earlier.
Assets under management totaled $61.9 billion, up from $54.4 billion a year earlier.
"We are in a very fortunate position," said Nuttall. "We have long dated capital... In times like this, companies need capital. Many of the traditional providers are gone."
KKR said that it would pay a distribution to shareholders of 11 cents per unit. It said that its recent investment in energy company Hilcorp is expected to add approximately 6 cents a unit to its fourth quarter distribution.
